Asset Acquisition Support Fund for Real Estate Investment Trusts

Marubeni Corporation (hereinafter, "Marubeni") hereby announces that it has decided to set up a bridge fund (hereinafter, "the Fund") to support asset acquisition by United Urban Investment Corporation (hereinafter, “UUR”) (*1) and Marubeni Private REIT Investment Corporation (MPR) (*2) . Marubeni Asset Management Co., Ltd. (hereinafter, "MAM"), a wholly owned subsidiary of Marubeni, will manage the Fund. Marubeni plans to make a partial investment in the Fund.

If it happens that UUR or MPR acquires revenue real estate (*3), and if there is a time lag in the transaction between the seller and UUR or MPR, the Fund will take on the role of short - term owner until the funding of UUR or MPR is executed.The fund will contribute to the provision of more opportunities to acquire real estate (or trust beneficiary rights(*4)) for UUR and MPR.

Marubeni will support UUR and MPR’s business activities as their sponsor, providing such assistance as partial investments; this will contribute to the susutained growth of the assets under management. Additionally, the Fund will also receive investments from domestic institutional investors together with Marubeni. Marubeni hopes that it will be able to establish close relationships with a wide range of institutional investors, and will provide for various real estate investment opportunities throughout the fund, UUR and MPR.

(*1) Japan REIT Advisors Co., Ltd. (hereinafter "JRA"), a wholly-owned subsidiary of Marubeni.

(*2) MAM is entrusted management of assets.

(*3) Revenue Real Estate:
Real estate with certain rental income (such as land, buildings and structures attached to buildings).

(*4) Trust Beneficiary Rights
The right to receive economic benefits from trust such as rent income from the assets through trust banks. Assets can be securitized and distributed, and are treated as securities in the same way as stocks and corporate bonds when trading. Because trading of trust beneficiary rights is trading of securities, there is a characteristic that real estate acquisition tax is not imposed in acquisition.
